Acceptance of terms

By accessing or using the Proxus website, platform or services ("Services"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our Services. We reserve the right to modify these terms at any time; continued use constitutes acceptance of any changes.

Description of services

Proxus provides an industrial data platform that includes data collection, processing, visualisation and integration services for industrial applications. The features available to you depend on your subscription package and licence agreement.

User accounts

To use certain features you may need an account. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access to your account
• Accept responsibility for all activity that occurs under your account

Acceptable use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit malware, viruses or other harmful code
• Attempt to gain unauthorised access to our systems
• Interfere with or disrupt the Services or servers
• Reverse engineer or attempt to extract source code
• Use the Services for any illegal or unauthorised purpose

Intellectual property

The Services, including all software, content, trademarks and intellectual property, are owned by Proxus Yazılım Hizmetleri İthalat İhracat Sanayi ve Ticaret Limited Şirketi ("Proxus") or its licensors. Your use of the Services does not grant you ownership rights. You may not copy, modify, distribute, sell or lease any part of our Services without our written permission.

Your data

You retain ownership of any data you upload or input into the Services. By using the Services, you grant us a licence to process that data solely for the purpose of providing the Services. We handle it in accordance with our Privacy Policy and applicable data protection laws.

Payment terms

If you subscribe to a paid package, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as otherwise specified in your subscription agreement. We reserve the right to change pricing with reasonable notice.

Disclaimer of warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or completely secure.

Limitation of liability

To the maximum extent permitted by law, Proxus and its affiliates, officers, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or goodwill, arising out of or related to your use of the Services. Our total liability shall not exceed the amounts paid by you to us in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Proxus and its affiliates from any claims, damages, losses or expenses, including legal fees, arising out of your use of the Services, your violation of these terms, or your infringement of any third-party rights.

Termination

We may suspend or terminate your access to the Services at any time, including for violation of these terms. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination remain in effect.

Governing law

These terms are governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to conflict of law provisions. Disputes arising from these terms are resolved in the courts of Tekirdağ, Türkiye.
